Default unless you feel you have a "unusal situation" then I would simply create LLC using online service

why spend the legal fees if you don't have to.

or possibly I misread and you have LLC and need to create some agreement(s) for something?

Creating and LLC = easy. Operating agreement= not easy. If it's RE, than I have someone.

Default I'm going to need to create both.

My accountant has informed me that creating an LLC isn't as easy as just filling out an online form and paying $25 as if it were a dog tag license. He also said that during the creation of the operating agreement, things need to be allocated properly (fixed assets versus intangibles like existing wholesale accounts and goodwill) to take advantage of tax breaks and depreciation time limits. Lawyer and accountant stuff that's over my head.

An Assistant District Attorney friend has given me someone to call. Thanks for the replies.
