start with exhaust or chip for 1st mod??? any ideas and if so which one...

Both are easy to install. A chip will yield much greater results.
In fact, I'm convinced that the cat-back exhaust on these cars is not restrictive. Or at least not with stock downpipes and cats.

Go with a new suspension and feel the power difference. (more)
It will give you more confidence in the corners and you will feel so much faster without having to leave up on the gas.

Chip is easiest, but I wouldn't do it first.
I did chip first on my '00 S4. Turns out the suspension I put on it (MTM springs only) made the biggest day-to-day difference in the car. Chip is nice, but the real weak point of the S4 isn't the power, its the soggy suspension.
My '01 isn't chipped. Not in any big hurry to do it either, but it didn't take long for me to put a new suspension on it (Intrax MC this time...). I've since done the Neuspeed exhaust too, makes the car sound better and it appears to have a little more high-end pep.
Until you've taken your car out on a track and really driven it at even 5/10ths, you won't have any idea what the car with stock power is capable of.
People who get a woody over having the extra 65hp so they can go faster in a straight line seem to favor chipping early though. Guess it just depends whats important to you. Having done it both ways, though, I'd defintely recommend spending your money on the car's real weak points first.
