I'm thinking (guessing really) it's an improved auto tranny.....
One of the things I noticed when driving my friend's '01 A6 4.2 is that the auto tranny, even in tip mode, was slooooow off the line. Once you got going, it felt just like my 540. As a result, I've killed his 4.2 in a "race" from a standstill, although my car still pulled away ever so slightly when we got up to speed on the highway.
Perhaps the '02's have the eliminated this lag. The post above is the second one I've seen in a month of a '02 A6 4.2 beating a 540. I haven't seen any 540 beat A6 stories either.

Almost sounds like a troll. No BMW owners are that nice. They really ought to try an S6!
Spent part of the morning at the local [BMW] dealer the other day.

I took a long hard serious look at the 540i before deciding on the 2002 A6 4.2. Less with an eye towards drag racing, but with more of a notion of performance vs finish and styling vs design vs unique/unusual vs price point.
I voted with my dollars, and as I await the arrival of the car the width of my smile increases.

Yes! Primarily, suspension is stiffer, with lighter unsprung components and more damping.
And, Chuck, it is a 628 in the 2002... not that the BMW drivers will care. (Plus, it is a "controller" or "control module"; I hate the misnomer "relay.") This, plus the stiffer rack mount seem to help steering feedback and give a firmer feel. The S6 steering seemed stiffer still to me; the two A6s were pretty close (my 2001 has a 628 retrofitted).

It's a lot more than that. Stock sport 02 is much different than a stock sport 01. I test drove
several, including back-to-back drives, while I was in the lengthy process of getting my 4.2. The 02 handles much, much better; many people have said that the 01 sport basically feels like an 02 non-sport, and I agree with that.
