19" will fit fine in the wheel wells (even w/ the car 402'd down 10mm, w/ room for more), and they should certainly fit over the brakes.
As for spacers, I don't run any right now, but I plan to order some before I put the wheels back on next spring. I can barely fit a piece of paper between the tire and strut in the front -- which is evidently fine, since in 4,000 miles the tires haven't rubbed yet (after obsessive checking) -- but I haven't had the car on the track yet, and wouldn't track it w/o 5mm spacers.
I have the 19" RS6 reps with 245/45/19 SO3's on them. Size difference computes to about a 3.5% speed difference over stock (e.g., when my speedo reads 60 I'm really going 62.1 mph, via the miata tire calculator).

depends on the offset on the 19's.....
assuming an 8-8.5" rim width you probably want to achieve a 20mm offset. Depending on the brand of tire you use a 245/40 19 should get you the same overall diameter as the stock wheel and tire so the distance from the tire to the wheel well will not change....402 if you wish.
