Recently my engine has been running really rough and has no power. My mechanic says that one of my valves gets stuck open when the car gets hot and that I need a rebuild. My friends say it could just be my fuel filter, spark plugs or injectors?
She's a '96 2.8 12v with 225K km (140K mi)

Any insight would be appreciated.

When you say rough do you mean that the car can't idle at all or is it bogging down a lot because of the heat? Also do you experience loss of power only when the weather is hot? How does it run when it is cool at night? The reason I ask is because I have a 12v as well. During hot days (85+), the car runs and idle not as well as on cool days. The car bogs down a lot especially when the AC is on. In your case, I would change all the spark plugs and filters first to see if it is the problem since a rebuild is not exactly cheap.

also isn't the car suppose to throw codes if one of the values get stuck?

I think your friend's diagnosis is reasonable.. all those things are fairly cheap to fix and worth a try... definitely replace plugs if they haven't been replaced before... I've seen fuel filters last longer but it's time could be up...

if not then that may be your problem. It could be alot of things, but if you trust your mechanic at all then chances are he is right.

and it has been really hot around here lately...32+ degrees C. But it runs like that all the time...even at night when the temp is lower. The plugs are only 20K km old so they should be fine.

and one of my friends is a mechanic but he doen't work on euro cars all the time so.....

it could be number of things, but before you to get worry try to find a mechanic audi/vw that will perform couple tests on it,
EGR test
ICV test
Compression all cylinders test
oil compression test
and check the wires, they are number of tests that can be checked and that should help you get some rough idea.. do it , I did it and save me... before I decided to put mayor money into it..
